Practice areas

Sector knowledge that changes the numbers.

We work closely with four groups of clients. In each, the difference comes from knowing where the tax and reporting decisions actually sit — and acting on them early.

Property & Real Estate

Landlords, developers and SPV portfolios where structure drives the tax outcome.

  • SPV and group structuring for buy-to-let and development portfolios
  • Corporate interest restriction, finance cost planning and profit extraction
  • Capital allowances and repairs versus improvement reviews
  • SDLT, ATED and CGT considerations on acquisition and disposal
  • Development appraisals, drawdown schedules and lender reporting

SPV portfolio tax optimisation

01

A landlord holding eleven flats personally faced restricted mortgage interest relief. We modelled incorporation into a corporate SPV structure with a holding company, quantified SDLT and CGT entry costs against the interest relief recovered, and phased the transfer across two tax years — an ongoing annual tax saving of around £24,000 with the entry cost recovered inside three years.

Development appraisal and lender confidence

02

A five-unit residential developer needed funding but had no reliable cost reporting. We built a unit-by-unit appraisal, cash drawdown schedule and monthly cost-to-complete report. The lender released the facility at a lower margin, saving approximately £18,000 of finance cost over the build.

Capital allowances on a commercial conversion

03

On a £1.4m office-to-residential conversion, a detailed review of plant, integral features and structures and buildings allowances identified £186,000 of previously unclaimed allowances, reducing corporation tax by roughly £46,000.

R&D claim and EMI options for a SaaS platform

01

A twelve-person SaaS business had never claimed R&D relief. We documented two qualifying development projects, prepared the technical narrative and cost breakdown, and delivered a benefit of about £61,000 across two periods. Alongside this we implemented an EMI scheme over 8% of equity, retaining three senior engineers with no immediate income tax charge.

Runway visibility before a seed round

02

A pre-revenue platform was raising at a valuation it could not evidence. We produced an 18-month driver-based forecast with cohort retention and hiring scenarios. The round closed at £1.2m with dilution roughly 6% lower than the founders' original expectation.

Subscription revenue recognition clean-up

03

Annual invoices were being recognised on receipt, overstating profit and inflating the tax charge. Correcting to a deferred income basis smoothed reported margin, reduced the immediate corporation tax payment by around £29,000 and gave the board a monthly MRR figure it could rely on.

LLP partner profit restructuring

01

A six-partner law firm shared profit on a fixed historic basis unrelated to contribution. We introduced a points-based allocation with a corporate member for retained working capital, cutting the partnership's aggregate tax and NIC charge by about £38,000 a year while funding growth from retained profit.

Lock-up reduction in a consultancy

02

Work in progress and debtor days totalled 118. Monthly matter-level lock-up reporting and revised billing discipline brought this to 71 days within two quarters, releasing roughly £240,000 of cash and removing the practice's overdraft dependency.

Partner tax reserve discipline

03

Partners were regularly short at January payment dates. We introduced individual tax reserve accounts and quarterly liability projections, ending late payment interest and giving partners predictable monthly drawings.

Owner-Managed Businesses

Trading companies where the business and the family's finances are inseparable.

  • Salary, dividend and pension extraction planning
  • Management accounts and KPI reporting built for decisions
  • Business Asset Disposal Relief and exit readiness reviews
  • Succession, share reorganisations and family involvement
  • Funding applications, forecasting and covenant monitoring

Succession planning for a family manufacturer

01

A founder wanted to pass control to two children while retaining income for five years. We implemented an alphabet share reorganisation with growth shares for the next generation, supported by valuations and HMRC clearance — transferring future growth of an estimated £2.1m with no immediate dry tax charge.

Extraction review for a £340k profit company

02

A husband-and-wife company was drawing salary well above the efficient level. Rebalancing to a baseline salary, dividends across both shareholdings and £60,000 of employer pension contributions saved approximately £21,000 of tax and NIC in the first full year.

Margin recovery through management reporting

03

A £4m turnover installer had no visibility of contract profitability. Monthly job costing revealed two loss-making contract types; repricing and withdrawal lifted gross margin from 21% to 28%, adding roughly £280,000 of annual gross profit.
